In terms of the Information Technology Act, 2000, this document is an electronic record. Being generated by a computer system it does not require any physical or digital signatures. This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy, and Terms of Use for access or usage of www.collexo.com and all other associated web sites and applications

1. The domain name www.collexo.com (hereinafter referred to as “the Website” or “Site”) is owned by NoPaperForms Private Limited hereinafter referred to as the “Company”), having its registered office at 2nd Floor, Property No. 76, Okhla Industrial Estate, Phase-3, New Delhi 110020 and principal place of business at First Floor, Plot No. 242 & 243, AIHP Palms, Udyog Vihar, Phase-4, Gurgaon Haryana-122015.
2. For these Terms of Use, wherever the context so requires “You” or “Your” or “User” shall mean any natural or legal person who has agreed to use the Website by providing Registration Data while registering on the Website. The term “Collexo” or “Meritto” or “we” or “us” shall mean the Company. The headings of each section in this Agreement are only to organize the various provisions under this Agreement in an orderly manner. These headings shall not be used by either party to interpret the provisions contained with them in any manner. Further, the headings have no legal or contractual value.
3. The use of this Website by you is solely governed by these terms and conditions and any policy so mentioned. Moving past the home page or using any of the services mentioned on the website shall be taken to mean that you have read and agreed to be bound by all of the policies. You will be subject to the rules, guidelines, policies, terms, and conditions applicable to any service that is provided by this site, and they shall be deemed to be incorporated into these Terms of Use and shall be considered a part and parcel of these Terms of Use.
4. We hold the sole right to modify the Terms of Service without prior permission from you or informing You. The relationship creates a duty on you to periodically check the terms and stay updated on its requirements. If you continue to use the website following such a change, this is deemed as consent by you to the so-amended policies. As long as you comply with these Terms of Use, We grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Website.

User Eligibility

By accepting these Terms, You hereby declare and confirm that:

For Individuals and individual channel partners

1. You are a resident of India.
2. You are above 18 (Eighteen) years of age
3. Have the capacity to enter into a legally binding contract as specified under the Indian Contract Act, 1872, while accessing the Platform and/or availing the Services offered by the Company.
4. You are not barred or otherwise legally prohibited from accessing or using the Services under the laws of India or any other applicable law.

For Institutes

1. Entities registered in accordance with Applicable laws
2. Entities with valid and requisite affiliations/ certifications for imparting education and/or related services through the chosen mode (virtual/physical)
3. Entities with necessary provisions under the constitution documents

For businesses or other entities or channel partners registered as entities

For Users that are businesses or other entities, or persons acting on behalf of businesses or other entities, the limited license to access and use the Site granted above shall be deemed granted to the business or entity member and to those authorized representatives of the business or entity for whom Registration, KYC and other data has been provided to the Company while acting on behalf of the business or entity member in their official capacities. Any access to or use of the Site by persons who have not authorized representatives of the business or entity, including but not limited to any representative for whom Registration Data has not been provided, voids this license and shall constitute a violation of these Terms. Furthermore, this license is revocable by us at any time with regard to the business or entity member and/or any person acting on such business or entity's behalf without notice and with or without cause.

Registration

To use the Services, You need to register on the Platform and provide Us with accurate information as requested by Us and ensure that such information is complete and updated at all times, in all aspects. You are required to update the information as and when the same changes, and maintain the security of your account password, identification, and access to your account. You shall be responsible for all activities that occur through Your account or password, whether initiated by you or otherwise. You shall intimate Collexo immediately of any suspected/actual unauthorized use of Your account. Collexo shall not be liable for any unauthorized use or access of Your account including any loss that might be caused to You from unauthorized access.

Collexo reserves the right to suspend any account, block any User from accessing the Platform, and/or availing any Service if it determines the same to contain incorrect information and/or is erroneous or is a violation of the Terms, without giving any notice.

Certain additional terms and conditions will apply for availing the Services and third-party products and services offered through the Site. Kindly read those additional terms and conditions carefully, before accepting.

Proprietary rights and platform access

By using the Site, You acknowledge and agree that Collexo owns all rights, title, and interest in and to the Services and the Platform, including any intellectual property rights which subsist in the Services (whether registered or not) and the Platform. You further acknowledge that the Services may contain information that is designated confidential by Collexo and that You shall not disclose any information without Collexo’s prior written consent.

By using the Service, You are consenting to have Your personal data transferred to and processed in India. We may maintain records of the written communication or listen to and/or record phone calls between You and our representatives without notice to you as permitted by applicable law for quality monitoring purposes.

Collexo grants You a limited license to access and make personal use of the Platform and the Services. This license does not confer any right to download, copy, create a derivative work from, modify, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sub-license, grant a security interest in, or otherwise transfer any right in the Services and the Platform. You do not have the right to use any of Collexo’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. You do not have the right to remove, obscure, or alter any proprietary rights notices (including trademark and copyright notices), which may be affixed to or contained within the Services. You will not copy or transmit any of the contents of the Platform. You shall not use this Platform or its contents for any commercial purpose, unless agreed in writing or make any speculative, false, or fraudulent transaction.

You shall not use any “deep-link”, “page-scrape”, “robot”, “spider”, “crawler” or other automatic devices, programs, algorithms, or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform or any of its content, or in any way reproduce or circumvent the navigation structure or presentation of the Platform or any of its content to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Platform or expressly allowed by Us in writing. We reserve the right to bar any such activity and take appropriate legal action.

You shall not attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or any server, computer, network, or to any of the services offered on or through the Platform, by hacking, password mining or any other illegitimate, illegal means.

You shall not probe, scan or test the vulnerability of the Platform or any network connected to the Platform, nor breach the security or authentication measures on the Platform or any network connected to the Platform. You may not reverse look-up, trace or seek to trace any information of any other User on the Platform, including any account on the Platform not owned by You, to its source, or exploit the Platform or information made available or offered by or through the Platform in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than Your information, as provided for by the Platform.

You will not misrepresent, conceal Your identity, or otherwise manipulate identifiers to disguise the origin of any communication that you may send to us on or through the Platform. You may not pretend that You are, or that you represent, someone else, or impersonate any other individual or entity.

You agree and acknowledge that for undertaking any financial transaction, third-party products, and services through the Platform or for availing the Services, Collexo or its partner financial institutions, vendors, service providers, business partners, agents, or any other third party may undertake client/customer due diligence measures and seek mandatory information required for Know-Your-Customer (“KYC”) purpose, as mandated by Reserve Bank of India or other regulatory bodies.

You agree and acknowledge that Collexo may be required to share/provide any or all of the data to government or other regulatory bodies, as and when requested, without any notice to You.

Disclaimers

The Company does not guarantee the accuracy of any User Content or Third-Party Content on the Site. We provide rules for User conduct and posting but do not control and are not responsible for any offensive, inappropriate, obscene, unlawful, or otherwise objectionable content You may encounter on the website or in connection with any User Content or Third-Party Content.

The Services may be temporarily unavailable from time to time for maintenance or other reasons. The Company assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, or unauthorized access to, or alteration of, User communications.

The Company is not responsible for any problems, hacking or technical malfunction of any telephone network or lines, computer online systems, WhatsApp services, other servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or combination thereof, including injury or damage to Users or to any other personal computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Services.

Under no event or circumstance will the Company or its directors, employees, or agents be liable/responsible to You or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages or losses, including any loss or damage to any User Content, financial damages or lost profits, loss of business, or personal injury or death, resulting from anyone use of the Services, even if the User have been advised in advance of the possibility of such loss, cost or damages.

Notwithstanding anything to the contrary contained, the Company’s liability to You for any cause whatsoever, and regardless of the form of the action, shall at all times be limited to the amount paid by You to the Company for the Services within the 1 month preceding the cause of action, if any. Further, in no case, will the Company's liability to you exceed ₹10,000 or equivalent. You acknowledge that if no fee is paid to the Company for the Services, You shall be limited to injunctive relief only, and shall not be entitled to damages of any kind from the Company, regardless of the cause of action.

COLLEXO IS MERELY A FACILITATOR AND THE SERVICES ARE PROVIDED BY NOPAPERFORMS SOLUTIONS PRIVATE LIMITED ON AN “AS IS” AND “AS AVAILABLE” BASIS. COLLEXO MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE WEBSITE/APP OR THE INFORMATION, OR CONTENT INCLUDED ON THE WEBSITE/APP. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. COLLEXO RESERVES THE RIGHT TO WITHDRAW OR DELETE ANY INFORMATION FROM THE WEBSITE/APP AT ANY TIME AT ITS DISCRETION. TO THE EXTENT PERMISSIBLE BY APPLICABLE LAW, COLLEXO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. COLLEXO DOES NOT WARRANT THAT THE WEBSITE, ITS SERVERS, OR EMAIL SENT FROM COLLEXO ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COLLEXO SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE WEBSITE/DASHBOARD, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND, OR CONSEQUENTIAL DAMAGES.

Governing law and Jurisdiction

These Terms shall be governed by the law of India and subject to the provisions of arbitration as per Indian laws. The courts in Delhi shall have the exclusive jurisdiction.

Any dispute, controversy, or claim arising out of or relating to these Terms or otherwise, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, will be referred to and finally determined by binding arbitration in accordance with the Indian Arbitration & Conciliation Act, 1996, as amended from time to time, and the seat, venue, and place of the arbitration shall be Delhi. The parties agree the arbitration award shall be conclusive and binding.

Indemnity

You agree to indemnify and hold Meritto or Collexo, its directors, employees, officers, partners, agents, and representatives harmless from all claims, liabilities, damages, and expenses (including any penalties, legal fees, and disbursements in connection therewith and interest chargeable thereon) arising out of or relating to (a) Your authorized or unauthorized use of the website/Dashboard/ Services; or (b) Any alleged breach of these and other Terms by the User.

Online refunds

Payments received online are non-refundable for any reason. If the customer paid twice for one transaction, the excess amount would either get automatically refunded within 30 days or You would need to contact the respective institution for refund.

Others

The failure or delay of the Company in the exercise or enforcement of any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance.

If any provision of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect. If any provision of these Terms shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
